terms and conditions FOR VISITORS AND MEMBERS
(“T&C”)
These T&C ARE a legal agreement between:
- YOU – as a visitor of our Platform / a Member of Our Platform;
- PPM INTERNET INC. (that’s Us) – the company that owns the
Platform.
WHO ARE WE?
- We are PPM INTERNET INC., a private company incorporated in Belize
(short – “Skyprivate” or “We” or “Us”);
THESE T&C SET THE RULES THAT APPLY TO:
- the access to, and use of our Platform
as a mere Visitor; - the access to, and use of our Platform
as a registered Member, as well as access to the services provided by Us to you, as a registered
Member.
THESE T&C DO NOT APPLY:
- In case you are a Model or a Studio,
whose purposes are to deliver one or several Performances to Visitors or Members, outside the
Platform.
If you are a Model or a Studio and want to work with Us,
please read our FAQ here https://support.skyprivate.com/ and follow the instructions on our Platform to set-up
an account in this respect. A separate contract will contain all the rules between Us and Models
and/Studios.
DEFINITIONS USED IN THESE T&C:
- Content means any information
provided by the Model / Studio on the Platform, directly or indirectly, including, without limitation,
profile information, videos or images uploaded on the Model’s presentation page within the Platform and any
of the data collected by the Platform regarding the use of the Platform for presentation/advertising
purposes or for the purpose of offering the Platform / Services / Metering Technology; - Metering Technology or Technology means a metering plugin
offered by Us and installed by the Model and using third-party instant messenger applications that We neither
own nor control, used solely for metering/calculating Sessions’ duration. - Model (or “Adult Service Provider”) means an individual person,
irrespective of their gender, who reached the age of majority in the Relevant Jurisdictions and who has agreed
to access and use the Platform, individually or under a Studio, and delivers one or several Performances to
Visitors / Members outside the Platform; - Performance means text, images, sounds, videos, live sessions or
streams and any other entertainment activities and acts performed by the Model to the benefit of the Visitors /
Members outside the Platform and using third-party instant messenger applications that We neither own nor
control, nor they are integrated into Our Platform, and the Metering Technology, as a result of which Visitors /
Members may receive exclusive ownership rights over different assets provided by the Model, if the Model decides
to transfer such ownership rights. - Platform Content – the elements of the Platform owned by Us,
described in clause. 5 below; - Services – the services offered
by Us, described in clause. 1 below. - Studio means an individual or a
business entity, who has agreed to access and use the Platform, Metering Technology and Services to deliver,
through Models with whom they have a contractual relationship, Performances to Visitors / Members outside
the Platform; - “Skyprivate Platform” or “Platform” – Our online
adult interactive website, available at the URL https://www.skyprivate.com/ . Skyprivate Platform offers
Members/Visitors to access the Platform Content and, as the case may be, connect them to Models and Studios that
are registered in Our Platform. - Session means the continuous
period of time during which the Models offer their Performance to Visitors / Members outside the Platform,
through an instant messaging application. A Session’s duration is calculated using input from the Metering
Technology; - Relevant Jurisdictions means the
country where the Model’s Performance originates from, countries where the Visitors and Members access the
Platform from and the country where the SkyPrivate established; - Visitor or Member means a user
who reached the age of majority in the Relevant Jurisdictions and who accesses and uses the Platform to get
in touch with a Model.
Please carefully read these T&C. They contain important information concerning
Your rights and obligations, and include various limitations and exclusions, defining Our liability, determining
applicable legislation and the jurisdiction for solving any dispute
1. GENERAL
1.1. These T&C are a binding legal document establishing the contractual relations
between (i) you as a Visitor/Member of the Platform, on the one hand, and (ii) Us, on the other hand, and which
arise as a result of the acceptance of the T&C in order for You to use the Platform made available by Us, and
for receiving the Services in connection to the Platform.
1.2. The Platform offers Visitors/Members access to adult content provided by Models
and facilitates Members/Visitors the access to Performances. However, Performances take place outside the Platform,
via third-party instant messenger apps, which We neither own nor control. Our Platform does not introduce
Visitors/Members to Models, only but provides a platform for Models to introduce themselves. The Platform is
intended to be used for adult Models and adult Visitors/Members only.
1.3. Members and Visitors can find free and payable services provided by Models. Prior
to selecting the services intended, it is important for Members and Visitors to consult the content, price list and
means of payment (credit and debit cards, online checks, etc.) established for such services for their country. This
information is available on the Platform website.
2. ACCEPTANCE OF THE T&C
2.1. By accessing or using the Platform, you agree to comply with these T&C. If you
do not agree to these terms, you must refrain from using the Platform or any of its Services.
2.2. When you register an account on Our Platform as a Member, You must accept the
T&C to receive any of Our Services made available to our Members.
2.3. You agree with the entire document, and You can’t choose what section You agree
with or not.
3. PLATFORM ACCESS & REQUIREMENTS
3.1. All Visitors and Members must be at least 18 years of age, or the legal age of
majority in their respective jurisdiction if it differs from 18.
3.2. We offer two account types on Our Platform: Members and “Adult Services Providers”
(i.e, Models and Studios), and users can only register for one. Multiple accounts are prohibited unless approved by
Us for adult service provider accounts. Unauthorized multiple accounts may be permanently closed without notice.
1.1. HOW TO CREATE AN ACCOUNT AS A MEMBER
1.1.1. You will need to sign up with Your e-mail or a
third-party social media account, such as a Google and Skype account (Please see Section 9 Personal Data below for
more information on how we process data).
1.1.2. If You sign up using Your e-mail, You need to insert
Your name and choose a password.
1.2. TAKE CARE OF YOUR ACCOUNT
1.2.1. You must:
1.2.2. choose a strong password, if required, when signing
up;
1.2.1.2. keep Your information up to date;
1.2.1.3. protect Your account credentials;
1.2.1.4. immediately notify Us if You become aware of any
unauthorized use of Your password, credentials, or of Your account.
3.3. You are responsible (to the maximum extent permitted by the law) for all
activities occurring under Your account and accept all risks in case of any authorized or unauthorized access to
Your account.
3.4. If you are accessing our Platform through Third Party providers, we are not
responsible, or liable for the content, modifications, or technical accuracy of those products. Your use of these
third-party products is subject to their terms of use.
3.5. In case you receive errors while accessing the Platform through Third Party
providers, you understand and agree that we will not be held responsible for this and that your use of these
third-party products is subject to their terms of use.
4. PAYMENTS
4.1. We will collect, on behalf of Models and Studios, the online payments made by
Members / Visitors within the Platform.
4.2. Models, Studios, Members and Visitors have the obligation to comply with these
General Terms and Conditions and the Code of Conduct made available on Our website.
4.3. The user (Visitor or Member) may load his account (virtual credit balance) with an
amount that can be spent as “pay-per-minute” or “direct payment” in the available areas of “Adult Entertainment”;
Therefore, the selection of services must be preceded by the consultation of the user of the correspondent content,
price list, and means of payment made available on the website – https://www.skyprivate.com .
4.4. If the user wants to access the full feature, they must click on the “Call Skype”
button and from that point on stay in the video chat with the Adult Service Provider (Model) entering into a private
mode where the funds are used on a pay-per-minute basis.
4.5. You will be informed about each referred auto-purchase as it occurs. You will have
the option to prevent the subsequent charge by selecting the appropriate button in the notification message.
4.6. Billing of a given account (the actual price payable for credit packages) depends
on the physical location where the account has been created. Please take into consideration that We reserve the
right to round payments received from users and therefore, shall be entitled to apply rounding.
4.7. In case of any query, We will be able to help You regarding Your transactions made
through different payment providers as well, by contacting the provider in question. Therefore, for billing
information and support the following contacts should be used: https://www.skyprivate.com/support/ . skyprivate.com
does not store nor has access to transaction details.
4.8. For banking expenses information, each user should consult their bank directly.
4.9. We are not responsible for any issues that occur outside of Our Platform.
4.10. You need to send your complaints to SkyPrivate Support Service within 72 hours of
the issue. Complaints submitted after this period will only be considered in cases of force majeure because it’s
tough to determine their validity. We’ll resolve complaints within 48 to 72 hours, but some cases might need more
investigation, which could take longer. All report resolution complaints must be addressed through Support within
the next 72 hours from the moment the report resolution was given, otherwise the resolution given will be the final
one. SkyPrivate Customer Service team may, whenever deemed necessary, carefully investigate reports and other data
at its disposal, resorting to any existing means for such effect.
4.11. The terms and conditions of SkyPrivate are not subject to changes (other than
those issued unilaterally by Skyprivate), regardless of the rules established by the models on their profiles. If a
payment is submitted (prepayment or tip) and the Model does not deliver the requested content, the payment will be
returned to the Member’s account (please take into consideration that the incident must be reported within the 72
hours stipulated to report any inconvenience).
4.12. SkyPrivate will only compensate/refund credits in the amount proportionally
determined in accordance with the price paid and problem effectively reported when any credit is lost due to
dysfunction of SkyPrivate or an Adult Service Provider in the “Nude Only” part of the Platform totally and
explicitly refuses to provide erotic content. In case some erotic content is provided, SkyPrivate will assess the
situation and discretionarily decide whether any compensation/refund of credits is due.
4.13. No refunds will be given if you provide prohibited content. For details, see our
Code of Conduct.
4.14. Only full purchased packages can be refunded. In the event that a transaction is
refunded, the correspondent amount (determined in accordance with the foreseen in point above) will be credited to
the credit card that was used to make the original purchase, being deducted from the “SkyPrivate Credit Balance”.
Transactions older than 2 months cannot be refunded.
4.15. If You exhibit behavior non-compliant with the Code of Conduct, the account shall
be terminated immediately and there will be no refund.
4.16. SkyPrivate will not be liable for any defamatory, offensive, or illegal conduct
of any user, or for any failure of performance, error, omission, interruption, deletion, defect, delay in operation,
or transmission, communications line failure, theft or destruction or unauthorized access to, alteration of or use
of records, whether under contract or tort theory or under any other cause of action, for any amount over and above
the amount paid by You to SkyPrivate.
4.17. Under no circumstances, including, but not limited to, negligence, shall
skyprivate.com or any of its related, affiliated companies be liable for any direct, indirect, incidental, special,
consequential, or punitive damages that result from the use of, or the inability to use the service, without
prejudice of the established in the present clause.
4.18. Cases of dishonest behavior related to online transactions are handled with high
priority keeping, however, in mind the user’s privacy. Such cases may be outsourced to companies specialized in this
field.
4.19. In case of any fraudulent transaction, We reserve the right to use all available
information at Our disposal during any kind of legal procedure. Including, without the claim of completeness,
browser history, IP and email addresses, and any other traceable activity. During such legal procedures, We might
involve other, professional investigator parties and share certain information in order to comply with federal law,
vindicate its rights and represent the best interests of Our customers.
4.20. We grant full cooperation to legal authorities investigating fraudulent
transactions and other matters falling under legal jurisdiction and responds to subpoenas and court orders.
4.21. Please take into consideration that We reserve the right to round payments to be
paid as compensation/refund, and therefore, We shall be entitled to apply rounding.
4.22. Members or Adult Service Providers will be able to upload screenshots, evidence
or comments to the report investigation until such investigation is closed. The users won’t be able to submit more
information after the closure of the case.
4.23. If a Studio’s or Adult Service Provider’s account is suspended or terminated for
any reason, any upcoming withdrawals will be put on hold until all reports will be solved and it will be reviewed in
a month’s time from the day it was suspended.
4.24. We have the right to withhold payments to Members and Adult Service Providers in
case the aforementioned have engaged in unwanted, dishonest behavior (dishonest behavior refers to any violation of
the terms and conditions stated in this agreement). Service Providers will not have payments withheld for any
transactions that they receive from members (pay-per-minute calls, tips, videos, and direct transactions also known
as prepayments) with the exceptions mentioned above.
4.25. When users with malicious intentions are paying suspiciously considerable amounts
to Service Providers, or when Service Providers have been detected to cooperate with fraudulent users these
transactions can be charged back. Service Providers are expected to report any suspicious activity.
5. INTELLECTUAL PROPERTY
5.1. WHAT ARE INTELLECTUAL PROPERTY RIGHTS EXACTLY
5.1.1. “Intellectual Property Rights”
means any intellectual property rights, as defined everywhere in the world, including but not limited to the
copyright, related rights, patent rights, trademarks rights, sui generis rights referring to databases, any rights
to software and hardware configurations, as well as any other intellectual property rights (registered or not
registered) all over the world, which are held regarding the Platform and Our Services.
5.1.2. What We Own: all elements of the
Platform, all content, and other materials provided by us are owned by Us (or, as applicable, our licensors) and are
protected by Intellectual Property Rights as well. For the avoidance of doubt, the visual interfaces, design, text,
plots, graphics, pictures, systems, information, data, methods, software, computer code, organization, services, all
other elements, and any other documentation or other ancillary material provided to You through the Site is owned by
Us or by Our licensors and are protected by copyright, patents, trademarks, design, trade secrets, any other
intellectual property rights and applicable law (we’ll call this the ”Platform Content”).
5.2. WE GIVE YOU A LICENSE TO ACCES AND USE THE PLATFORM
5.2.1. We grant you a license to use the Platform only
for accessing the Platform Content and/or using Our Services, as well as for accessing the Content provided by
the Models and Studios.
In “legalese” any use of the Platform or the Services other than as specifically authorized by these T&C, without Our written permission, is strictly prohibited. Such unauthorized use may also violate applicable laws, including, without limitation, copyright and trademark laws. |
Unless explicitly stated by Us, nothing else in these T&C shall be construed as conferring any license to intellectual property rights, whether by implication or otherwise. |
5.2.2. You are not permitted to: (i) use the Platform Content other than for its intended purposes; (ii) use any data
mining, robots or similar data gathering or extraction methods; (iii) sell, rent, lease, lend, redistribute, sublicense
or make commercial use of the Site Content; (iv) modify, alter or otherwise make any derivative uses of the Platform
Content, or any portion thereof, except as expressly permitted under these T&C.
6. RULES OF CONDUCT
6.1. We strictly prohibit supporting any immoral interests and have established stringent rules to ensure this. As a
sponsor member of the Association of Sites Advocating Child Protection (ASACP), we are dedicated to safeguarding
underage individuals. Our services are exclusively available to consenting adults who are at least 18 years old or have
reached the age of majority in their respective jurisdictions where the age of majority differs from 18. Accordingly, no
sexually explicit material is easily accessible to minors.
6.2. At SkyPrivate there is a zero-tolerance policy related to CSAM (Child Sexual Abuse Material) also known as child
pornography or child exploitation, in any form: written, audio or visual. In case of the slightest suspicion, the
account in question is immediately, and permanently closed and the appropriate authorities will be contacted.
6.3. By using Our Services or Platform, you agree to comply with the Code of Conduct. Failure to comply with them may
result in the termination of your account and/or use of the Platform, Services and Metering Technology.
6.4. You may not access or use the Platform or Services for unlawful purposes. Your use of the Platform or Services and
behavior on the agreed platforms and communication channels must comply with applicable local or national laws or
regulations. You are solely responsible for the knowledge of and compliance with such laws and regulations that are
applicable to You.
6.5. In the specific situation where a user recommends themselves as a Member of the SkyPrivate team and uses their
status to provide false information to other users, under a false identity, We reserve the right to make further
investigations of his identity and to make decisions consequently. We reserve the right to suspend the user’s activity,
to notify users of his / her negative behavior and to withhold any possible payments for this user indefinitely.
6.6. You agree that You will not and will not permit any third party to do, including but not limited to, any of the
following:
6.6.1 remove any copyright, trademark or other proprietary rights notices contained in
our Site;
6.6.2. modify, adapt, hack, translate, or reverse engineer the Site;
6.6.3. use any robot, spider, crawler, scraper or other automated means or interface not
provided by us to access the Site or to extract data;
6.6.4. attempt to indicate in any manner that You have a relationship with us or that we
have endorsed You or any products or services for any purpose, unless we specifically consented to such conduct;
6.6.5. upload, send, distribute or disseminate any content that could be in any way
interpreted as defamatory, unlawful, fraudulent, obscene, harassing or objectionable;
6.6.6. distribute any other harmful components such as, including but not limited to,
worms, viruses, trojan horses, corrupted files, defects, hoaxes;
6.6.7. impersonate another person by any mean (e.g., by use of an email address, name,
nickname or otherwise);
6.6.8. access or use our Services and the Site for the purpose of creating a product or
service competitive with any of our products or services.
7. PERSONAL DATA
7.1. Please refer to our Privacy Policy for information on how we collect, use, store and disclose Your personal data,
available at https://www.skyprivate.com/privacy-policy/
.
8. LIABILITY & INDEMNIFICATION
8.1. If we are informed that You or Your content violates the laws or the rights of others or if we believe Your
content or behavior is unlawful, inappropriate, or objectionable, we may delete Your content or may require Your content
to be removed from the platforms used and prohibit access to Our Platform. (for example, if you do not follow the
Code of Conduct and Ethics, if it is established that your behavior violates the intellectual property or image
rights of others, or it is an illegal activity).
8.2. You agree to repair any damages or costs incurred to Us and Our group of companies (including the staff,
suppliers, partners, and agents) against any third-party claims arising from:
8.2.1. the content You post or submit;
8.2.2. Your use of the platform and Services;
8.2.3. Your violation of these T&C; or
8.2.4. Your violation of any rights of a third party.
8.3. Your indemnification obligation will survive the termination of these T&C and Your use of the Services.
9. DISCLAIMERS
9.1. We may decide to stop making available certain features of the Platform or Services at any time and for any
reason. Under no circumstances will We or Our affiliates, suppliers, partners, or agents be held liable for any damages
due to such interruptions or lack of availability of such features.
9.2. We may also cancel, suspend, block, or eliminate a certain type of content in case the respective content breaches
the provisions of these T&C.
9.3. We are not responsible for delay or failure of our performance of any of the Services caused by events beyond our
reasonable control, like an act of war, hostility, or sabotage; natural disaster; electrical, internet, or
telecommunication outage; or government restrictions.
9.4. To the extent permitted by law, Our liability (and the liability of each of our group companies, suppliers,
partners, and agents) to You or any third parties under any circumstance is limited to one hundred USD (USD 100). Some
jurisdictions don’t allow the exclusion or limitation of liability for consequential or incidental damages, so some of
the above may not apply to You.
9.5. When You use our Platform, You will find links to other websites that we do not own or control. We are not
responsible for the content or any other aspect of these third-party sites, including their collection of information
about You. You should also read their terms and conditions and privacy policies.
In “legalese” We (and our We (and Our affiliates, suppliers, Some jurisdictions don’t allow the |
9.6. We are not responsible for Performances by Models to Visitors/Members and have no control over either party. We do
not set standards, select or contract Models, determine Performance terms, or influence their acceptance.
9.7. We do not authorize any Performance and are not responsible for any disputes that may arise between the Model and
Visitor/Member. We may assist the Model and Visitor/Member in resolving disputes related to Performance, but are under
no obligation to do so. The Model understands that it will be up to them to prepare, create, and offer Performances to
Visitors/Members. The Model is responsible for being compliant with all applicable regulations of the Relevant
Jurisdictions.
9.8. We can, at any time, refuse the Models, Studios and Members / Visitors access and use of the Services, including
Platform and Metering Technology, without providing a specific reason, including without limitation for breaching the
Code of Conduct and Ethics, without prejudicing the obligations already due between the Parties.
9.9. Members/Visitors must take responsibility and protect SkyPrivate, its directors, employees, and stockholders from
any kind of damage, loss, or costs that come up because of any claims related to breaking these T&C. This includes
but isn’t limited to: (i) Any disputes over Intellectual Property or other issues that might come from users (Model,
Member) using the Services/Platform/Metering Technology, especially regarding Performances offered by Models to
Visitors/Members; (ii) Information provided to SkyPrivate during registration or any other part of these T&C; (iii)
Not keeping login info or account details safe and private.
10. DURATION, SUSPENSION, OR TERMINATION
10.1. These T&C shall be binding for an indefinite period of time.
10.2. The termination of Our agreement covered by the T&C in any of the ways set out here shall not have any effect
on the obligations already due between You and Us, nor on the obligations that are intended to take effect and after the
termination of the agreement generated by these T&C.
10.3. You may terminate this agreement with 30 days prior notice, by writing to Us at support@skyprivate.com .
10.4. We have discretion in enforcing these Terms. We may restrict or terminate Your permission to use our Platform
Content and Services or ban Your accounts at any time.
10.5. We may restrict or terminate Your permission to use our Platform Content and Services or ban Your accounts at any
time with or without notice for any violation of these T&C, including but not limited to the following situations:
10.5.1. upon the request of law enforcement or government agencies;
10.5.2. non-observance of Intellectual Property Rights;
10.5.3. for a breach of the Code of Conduct and Ethics above;
10.5.4. if we suspect that You engage in fraudulent or illegal activities, or for any
other reason in our sole discretion.
10.6. Upon any such termination above, we may delete Your account and content, and we may prevent You from further
access to the Platform and use of our Services. Your content may still be available on the platforms even if Your
account is terminated or suspended. You agree that we will have no liability to You or any third party for termination
of Your account, removal of Your content, or blocking of Your access to our platforms and services.
11. OTHER
11.1. ASSIGNMENT
Only We can assign these T&C, You cannot do so. This means that:
- We may assign these T&C and/or any
of their rights, or delegate any of their obligations under these T&C without Your consent. - You may not assign these T&C or any
of Your rights and/or obligations under these T&C to another person or entity.
11.2. SEVERABILITY
If any provision of these T&C shall turn out to be unlawful, void or for any reason
unenforceable, then that provision shall be considered separable from these T&C and shall not affect the
validity and enforceability of any remaining provisions.
11.3. LACK OF ENFORCEMENT
We decide whether and when we enforce these T&C. When we don’t do it, this does not
constitute a waiver of our right to enforce these T&C.
11.4. GOVERNING LAW AND JURISDICTION
11.5. To the maximum extent permitted by the law, these T&C will be governed by and interpreted as per the laws of
Belize. Any misunderstanding or dispute resulting from these T&Cs that cannot be settled by negotiation within 3
(three) months, it may be then settled by the competent courts of law in Belize.
11.6. As long as the laws allow this limitation, no action arising out of or relating to these T&C may be brought by
You (1) year after the cause of action has occurred.
11.7. NOTICES
11.8. Except otherwise instructed by Us, any notice or other communication will be:
11.8.1. in writing and given by registered or certified mail return receipt requested, or
11.8.2. email (By us to the email associated with Your account. By You to support@skyprivate.com).

MODEL OR A STUDIO ACCOUNT ON OUR PLATFORM
The document below is not a legally binding document and is meant to give you a
preliminary overview of the main clauses that are included in the General Terms and Conditions.
You may consult the entire General Terms and Conditions when you register on our Platform as a Model or as a
Studio.
- What is the purpose of the General Terms and Conditions?
General Terms and Conditions provide a clear framework
for using The Platform. They outline the rules and guidelines for Models and Studios, ensuring everyone knows
what to expect and what is expected of them. When you accept those terms, you agree to comply with the rules
provided in those terms, which help maintain a fair and structured environment for all Platform users.
- Who are We?
We are PPM INTERNET INC., a private company incorporated
in Belize. We own the Platform and provide services related to the Platform to help you connect with your
customers. Our goal is to offer a seamless and efficient experience for both Models and Studios.
- What do I need to do to use the Platform?
To use our Platform, you need to accept the General Terms
and Conditions, complete the registration process, and keep up with any updates we communicate. This ensures
that you are always aware of the latest rules and guidelines. There are no specific technical requirements to
access the Platform, unless otherwise described in the General Terms and Conditions.
- What services do We offer?
We offer a range of services designed to help you connect
with your customers. These include the Platform, Metering Technology, billing services, customer support,
advertising services, payment collection, and payout services.
Our Platform acts as a bridge between you and your
customers, enabling you to introduce yourself to your customers and offer your performances outside the Platform
using third-party instant messenger applications.
- What is Metering Technology?
Our Metering Technology is a tool used to measure the
duration of your sessions with customers. This helps ensure accurate billing and payment for the time you spend
with your customers.
- What types of accounts are available for Models?
We offer several types of accounts to suit different
needs: independent Model accounts, couple accounts, and accounts under a Studio. Each type has specific
requirements and benefits, allowing you to choose the one that best fits your working style.
For instance, an independent Model account allows a Model
to individually perform and request payments, while a couple account requires both partners to create separate
accounts that are verified by us.
Accounts under a Studio offer a different dynamic, where
the Studio manages the payments and other administrative tasks on behalf of the Models. This setup can be
beneficial for Models who prefer to focus solely on their performances while leaving the administrative
responsibilities to Us. Each account type is designed to cater to different working styles and preferences,

As a Model, you need to ensure your registration

follow our guidelines and Code of Conduct.

aspects of their operations, including collecting information about their customers to issue invoices and
ensuring compliance with tax and social security guidelines. This helps maintain a professional and compliant
environment for everyone.
- What are the responsibilities of a Studio?
Studios must ensure their Models comply with the General
Terms and Conditions, manage equipment and performance standards, and handle payments for their Models. This
helps maintain a smooth operation and ensures compliance with our rules.
Studios must ensure that all Models under their account
adhere to the General Terms and Conditions, the Terms and Conditions of the Platform, and the Code of Conduct.
This includes managing the registration and verification process for Models, handling payments, and maintaining
the necessary equipment and software for accessing and using the Services.
Additionally, Studios are responsible for the financial
aspects of their operations, including collecting information about their customers to issue invoices and
ensuring compliance with tax and social security guidelines. By fulfilling these responsibilities, Studios help
maintain a professional and compliant environment for their Models and customers.
- What can lead to the suspension of my account?
Your account can be suspended if we receive three written
complaints from the Platform visitors/members about your violation of the General Terms and Conditions, Platform
terms, or Code of Conduct. We take these complaints seriously and will investigate thoroughly before taking any
action.
- How are payments handled?
We collect payments from your customers on your behalf
and credit them to your virtual payment account. We deduct a fee for our services and process payouts to ensure
you receive your earnings promptly and securely.
Payments for Models and Studios are collected and
processed by Us on behalf of the Models and Studios. When Platform members/visitors make online payments within
the Platform, these payments are collected by us and credited to the Model’s virtual payment accounts. We deduct
a commission as a percentage of the total amounts collected and process the payouts to the Models and
Studios.
Models and Studios can request payouts from their virtual
payment accounts, and the Service Provider provides an electronic overview of the earnings in real-time through
the dashboard on the Platform. This transparent and efficient payment processing system ensures that Models and
Studios receive their earnings promptly and securely.
- How is personal data handled?
We handle personal data in accordance with our Privacy
Policy. This policy outlines how we collect, use, and share your personal data to ensure your privacy is
protected. Models/Studios are required to provide certain information during the registration process, such as
identity documents and payment details, which are securely stored and processed by Us.

To register as a Model, you need to:

Our Code of Conduct outlines acceptable behavior for
using the Platform, Metering Technology, and services. It prohibits activities such as harassment, illegal
transactions, and inappropriate content. By adhering to the Code of Conduct, you help maintain a safe and
respectful environment for all users.
- What are the intellectual property rights?
We own or are entitled to exercise all intellectual
property rights related to the Platform, Metering Technology, and services. This includes texts, images, videos,
charts, web graphics elements, scripts, and other data. You are granted a personal, non-exclusive,
non-transferable, and limited right to access and use the Platform and Metering Technology while you have a
registered account on the Platform.
Models and Studios must comply with all intellectual
property rights and are not allowed to reproduce, broadcast, display, distribute, or modify any intellectual
property material belonging to third parties without prior written authorization from the rightsholders.
- What is the indemnity and liability clause?
Our liability is limited and excludes certain types of
losses, such as those caused by third parties or equipment used by you. You must indemnify us against any claims
arising from breaches of the agreement, ensuring that we are protected from potential liabilities.
Additionally, we are not responsible for any disputes
between the Models/Studios and their customers, although we may assist in resolving such disputes, if
necessary.
Models/Studios are required to indemnify and hold us
harmless against any claims arising from breaches of the General Terms and Conditions. This includes
intellectual property disputes, incorrect information provided during registration, and failure to keep login
information secure.
- Are there any warranties for the Services?
Our Services, Platform, and Metering Technology are
provided “as is” without any warranties. This means we do not guarantee that the Services will meet your
requirements, be uninterrupted, timely, secure, or free from errors.
- Are there any responsibilities for third-party websites?
We are not responsible for the content or availability of
third-party websites linked through the Platform. These links are provided for informational purposes only, and
you access third-party websites at your own risk.
- Are there any tax compliance responsibilities?
Each Model/Studio is solely responsible for determining,
reporting, and paying any applicable taxes, including but not limited to VAT, sales tax, income tax, or any
other levies arising from the services provided to their customers. The Marketplace does not collect, calculate,
remit, or assume any liability for such taxes.
By using the platform, Models/Studios acknowledge and
agree that they act as independent service providers and that they bear full responsibility for compliance with
their tax obligations in their respective jurisdictions. The Marketplace is not liable for any tax-related
claims, penalties, or liabilities incurred by Models/Studios.
- What if you no longer agree with the General Terms and
Conditions?
If you no longer agree with the terms, you should stop
using the Platform and contact us to have your account removed. This ensures that you are not bound by terms you
do not agree with.
- How can the Agreement be terminated?
Either Party can terminate the Agreement with 30 days’
written notice. Termination does not affect obligations already due between the Parties, ensuring that any
pending responsibilities are fulfilled.
- Can the rights and duties under the Agreement be transferred?
You cannot transfer your rights and duties without our
approval. However, we can assign the Agreement to a third party, ensuring that the terms and conditions remain
consistent.
- What happens in case of force majeure?
Neither Party is liable for failure to perform due to
force majeure events, such as natural disasters or governmental actions. The affected Party must notify the
other within five business days and provide documentation certifying the force majeure within 30 business
days.
- What if a provision of the General Terms and Conditions is
invalid?
If a provision is held invalid, it will be enforced to
the maximum extent possible, and the remaining provisions will continue in full force. This ensures that the
overall integrity and enforceability of the Agreement are maintained.
- Can the General Terms and Conditions be modified?
We reserve the right to unilaterally modify the General
Terms and Conditions at any time. Any modifications will be communicated to you via the Platform or other means
determined by us. If you disagree with the modifications, you have the option to terminate the Agreement.
- What law governs General Terms and Conditions?
The Agreement is governed by Belizean laws, and any
disputes arising out of or relating to the Agreement are subject to the exclusive jurisdiction of the Belizean
Civil Court.
However, please note there might be exceptions where
different laws might apply (for instance, tax laws, depending on your residency) and it’s your responsibility to
